# BragMate Terms Of Service Draft

## 1. Who We Are
BragMate is operated by SoDutch Pty Ltd or the final operating entity confirmed before launch.

## 2. The Service
BragMate connects to a trade business's ServiceM8 account and helps turn completed jobs into:
- customer rating requests;
- private feedback alerts;
- approved Google Business Profile activity;
- hosted portfolio pages;
- monthly reports.
BragMate does not provide quoting, scheduling, invoicing, legal, accounting, or trade services.
## 3. Eligibility
You must be authorised to connect BragMate to the ServiceM8 account and Google Business Profile used by your business.
You are responsible for making sure your staff have permission to use BragMate on behalf of the business.
## 4. Account Setup
You agree to provide accurate business details, including your business name, trade, Google review link, branding, and contact details.
If setup details are wrong, BragMate may send customers to the wrong destination or publish incorrect business information.
## 5. ServiceM8 Connection
You authorise BragMate to access ServiceM8 data needed to provide the service, including completed jobs, customer contacts, job photos, and attachments.
You can disconnect BragMate from ServiceM8. If you disconnect it, new completed jobs will no longer be processed.
## 6. Customer Contact And SMS
You are responsible for making sure you have the right to contact your customers.
BragMate sends review request messages only for the workflows you enable. Customers must be able to opt out of future review messages.
You must not use BragMate to send spam, misleading messages, unlawful promotions, or messages unrelated to your completed work.
## 7. Review Compliance
BragMate does not use rating-based review gating.
After a customer rates a job, BragMate shows both options:
- leave a Google review;
- send private feedback to the business owner.
You must not configure, modify, or use BragMate in a way that hides public review options from unhappy customers, selectively asks only happy customers for public reviews, or discourages genuine negative reviews.
## 8. Photos And Public Content
Job photos are private by default.
You are responsible for approving only photos you have the right to use publicly. Do not approve photos that reveal private, sensitive, unsafe, or identifying information unless you have the required permission.
You remain responsible for the accuracy and legality of content published for your business, including portfolio pages and Google Business Profile content.
## 9. Google Business Profile
BragMate may prepare or publish Google Business Profile activity if connected and approved.
You are responsible for complying with Google's policies and for maintaining control of your Google Business Profile.
Google may reject, remove, filter, or change visibility of content or reviews. BragMate does not control Google's decisions.
## 10. Billing
BragMate may offer a free trial followed by a paid monthly subscription.
Draft pricing assumption: A$49/month after a 14-day trial. Final pricing must be confirmed before launch.
If billing is handled by Stripe or another external provider, that provider's terms may also apply.
Fees are billed in Australian dollars unless stated otherwise.
## 11. Cancellation
You may cancel your subscription according to the billing flow available in the product.
Cancellation stops future billing but does not automatically refund amounts already paid unless required by law or agreed in writing.
After cancellation, BragMate may disable automations, remove hosted portfolio pages, and delete or archive account data according to the privacy policy.
## 12. Acceptable Use
You must not:
- use BragMate for unlawful, misleading, abusive, or deceptive conduct;
- upload or approve content you do not have permission to use;
- interfere with BragMate's systems or security;
- attempt to access another business's data;
- use BragMate to breach ServiceM8, Google, SMS provider, or payment provider rules.
## 13. Availability
BragMate is an MVP and may change. We aim to keep the service reliable, but we do not promise uninterrupted availability.
Third-party outages may affect BragMate, including ServiceM8, Google, SMS providers, email providers, Stripe, Vercel, Supabase, or other infrastructure providers.
## 14. Data And Privacy
Our handling of personal information is described in the BragMate privacy policy.
You are responsible for your own privacy obligations to your customers, staff, and subcontractors.
## 15. Intellectual Property
BragMate owns the software, templates, workflows, and branding of the BragMate service.
You keep ownership of your business data, job content, photos, logos, and customer content.
You grant BragMate permission to use your data and approved content only as needed to provide the service.
## 16. Liability
To the extent permitted by Australian law, BragMate is not liable for indirect loss, lost profits, lost revenue, loss of goodwill, review filtering, Google Business Profile decisions, or third-party service failures.
Nothing in these terms excludes rights that cannot be excluded under Australian Consumer Law.
## 17. Termination
We may suspend or terminate access if:
- fees are overdue;
- the service is misused;
- the account creates legal, security, privacy, or platform-policy risk;
- continued operation would breach third-party rules or law.
## 18. Changes
We may update these terms as the product changes. Material changes should be notified to active customers before they take effect where practical.
## 19. Governing Law
These terms are governed by the laws of Queensland, Australia.
The parties submit to the courts of Queensland and the Commonwealth courts of Australia.
